These Terms of Use (“Terms”) govern your access to and use of the PrimeAgent website and related services (“Services”) provided by PrimeAgent, a trading name of Seringa Ltd (UK) (“we”, “us”, “our”). By using our website or Services, you agree to these Terms. If you do not agree, do not use the website or Services.

1. Description of the Services

PrimeAgent provides AI-powered agents for the South African property sector. Our Lead Agent (Eva) and future agents (e.g. Managing Agent, Compliance Agent) are designed to assist estate agencies and related businesses by:

  • Qualifying leads (e.g. budget, area, timeline, property type, income where relevant) through conversation.
  • Searching and matching properties (sales and rentals) to lead criteria.
  • Checking viewing availability and booking or managing viewings, including integration with calendars (e.g. Google Calendar) where configured.
  • Performing bond affordability checks where applicable.
  • Communicating with leads (e.g. via WhatsApp) and escalating to a human agent when appropriate.

The agent runs automatically based on configuration and conversation flow. It does not provide legal, financial, or professional property advice. Estate agencies and their clients remain responsible for their own decisions and compliance.

2. Use of the website

You may use our website for lawful purposes only. You must not:

  • Use the website in any way that breaches applicable law or these Terms.
  • Attempt to gain unauthorised access to our systems, other users’ data, or any third-party systems.
  • Transmit malware, spam, or any content that is defamatory, offensive, or infringes others’ rights.
  • Scrape, harvest, or automate access to the website in a way that burdens our systems or violates our instructions.

3. No professional advice

Content on the website and any outputs from our AI agents are for general information and operational support only. They do not constitute legal, financial, tax, or professional property advice. You should seek independent professional advice before relying on any information in connection with property transactions, bonds, or compliance.

4. Service availability and accuracy

We strive to keep the website and agent services available and accurate but do not guarantee uninterrupted or error-free operation. Property data, availability, and agent responses depend on data supplied by agencies and third parties; we do not warrant the completeness or accuracy of such data. Viewing bookings and calendar integration are subject to the availability and correctness of the underlying systems (e.g. Google Calendar).

5. Limitation of liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive loss or damage (including loss of profit, data, or business opportunity) arising from your use of the website or Services.
  • Our total liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or, if you have not paid us, R1,000 (one thousand rand).
  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under South African law.

6. Indemnity

You agree to indemnify and hold harmless PrimeAgent and its officers, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal costs) arising from your breach of these Terms, your use of the Services, or your violation of any law or third-party rights.

7. Intellectual property

The website and Services, including their design, text, graphics, logos, and software (excluding third-party components), are owned by or licensed to PrimeAgent. You may not copy, modify, distribute, or create derivative works without our prior written consent, except for normal browsing and use in accordance with these Terms.

8. Privacy and data

Your use of the website and Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information, including in relation to the AI agent and Google Analytics. By using the website or Services, you consent to such processing as described in the Privacy Policy.

9. Third-party services

The Services may integrate with or link to third-party services (e.g. WhatsApp, Google Calendar, Formspree, Google Analytics). Your use of those services is subject to their respective terms and policies. We are not responsible for the availability, content, or practices of third-party services.

10. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of South Africa.

11. Changes to the Terms

We may update these Terms from time to time. The “Last updated” date at the top will be revised. Material changes may be communicated via the website or by email where appropriate. Continued use of the website or Services after changes constitutes acceptance of the updated Terms.
